Terms of Service

1. Acceptance of Terms

By accessing jygyo.com or engaging JYGYO Media LLC for services, you agree to be bound by these Terms of Service. If you do not agree, do not use our website or services.

2. Services Description

JYGYO Media LLC provides AI automation consulting and SEO services to businesses. Specific services are defined in individual written agreements or proposals agreed upon before work commences.

3. Eligibility

You must be at least 18 years of age and have full legal authority to enter into binding contracts on behalf of yourself or your organisation. By using our services, you represent and warrant that you meet these requirements.

4. Proposals & Agreements

All quotes and proposals are valid for fourteen (14) days from the date of issue unless otherwise specified in writing. No work will commence without a signed written agreement or formal written confirmation. Proposals do not constitute a binding contract until countersigned by both parties.

5. Payment Terms

Services are invoiced per project or milestone as defined in the applicable agreement. Payment is due within fourteen (14) days of invoice date. Late payments will incur a fee of 1.5% per month on outstanding balances after thirty (30) days. We reserve the right to suspend services for accounts more than thirty (30) days overdue.

6. Refund Policy

Refunds are governed by our Refund Policy, which is incorporated herein by reference.

7. Client Responsibilities

Clients agree to: provide timely access to necessary accounts and information; review and provide feedback within agreed timelines; ensure all information provided is accurate; and maintain all licences and legal rights necessary for us to perform the services.

8. Intellectual Property

Upon receipt of full payment, clients own all deliverables specifically created for their project. JYGYO Media LLC retains ownership of all methodologies, frameworks, templates, and pre-existing intellectual property used in delivering services.

9. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party. This obligation survives termination for three (3) years. It does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Limitation of Liability

To the fullest extent permitted by applicable law, JYGYO Media LLC’s total liability shall not exceed the total fees paid by the client in the ninety (90) days preceding the claim. We shall not be liable for indirect, incidental, or consequential damages.

11. No Guarantee of Results

We do not guarantee specific search engine rankings, traffic levels, or revenue outcomes. SEO results depend on numerous factors outside our control. AI automation outcomes depend on client systems and data quality.

12. Termination

Either party may terminate an ongoing engagement with fourteen (14) days written notice. The client is responsible for payment of all work completed to date. We reserve the right to terminate immediately for non-payment or material breach.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

14. Dispute Resolution

The parties agree to attempt good faith negotiation before pursuing formal proceedings. If good faith efforts fail, disputes shall be resolved through binding arbitration in Casper, Wyoming under AAA rules.
